01 Agreement to these terms

These Terms of Use (“Terms”) are an agreement between you and Modum Ventures, the independent developer of Matters, based in Stockholm, Sweden (“we,” “us”). They govern your use of the Matters apps for iPhone, iPad, and Mac and this website. By downloading, installing, or using Matters, you agree to these Terms. If you don't agree, please don't use the app.

02 What Matters is

Matters is a personal productivity app for planning tasks, lists, decisions, habits, and routines across your Apple devices. It runs offline and, when you're signed in to iCloud, syncs your data privately through your own Apple ID. Matters is a tool for organizing your own work and life — it is not a medical, financial, legal, or professional advice service, and you shouldn't rely on it as one.

03 Your licence to use Matters

We grant you a personal, non-exclusive, non-transferable, revocable licence to use Matters on Apple devices you own or control, in accordance with Apple's Licensed Application End User License Agreement and these Terms. You may not:

• copy, sell, sublicense, or redistribute the app;
• reverse-engineer, decompile, or attempt to extract its source code, except to the extent the law expressly permits;
• remove proprietary notices, or use the Matters name or marks without permission.

04 Free trial, subscriptions, and purchases

Matters includes a 14-day free trial. When the trial ends, you can keep using the app by purchasing one of the following, priced in your local currency and shown to you in the App Store before you buy:

• Monthly — an auto-renewing subscription, billed each month.
• Annual — an auto-renewing subscription, billed once a year.
• Lifetime — a one-time, non-consumable purchase that unlocks the app permanently.

All purchases are made through Apple and billed to your Apple ID. For the auto-renewing subscriptions (Monthly and Annual):

• It renews automatically at the then-current price unless you cancel at least 24 hours before the end of the current period.
• Your Apple ID is charged for renewal within 24 hours before the period ends.
• You can manage or cancel it any time in your Apple ID account settings; cancellation takes effect at the end of the current billing period.
• Prices may vary by region and may change; we'll always show the current price before you confirm, and any increase to a subscription is subject to Apple's notice rules.

Purchases are restorable on your other devices via “Restore Purchases.” Refunds are handled by Apple under its App Store refund policy — as the developer, we can't issue App Store refunds directly, but we're happy to help you reach the right place.

Your purchase and use of Matters are also governed by these Terms of Use (including Apple’s Licensed Application End User License Agreement) and our Privacy Policy.

05 Your content

Everything you create in Matters — your tasks, lists, decisions, notes, and images — is yours. We claim no ownership of it and no licence to use it. Because your content lives on your devices and in your own iCloud, you're responsible for it, including keeping your own backups. We strongly recommend leaving iCloud sync on and periodically exporting a backup from within the app.

06 Acceptable use

Use Matters lawfully. Don't use it to break the law, to infringe others' rights, or to attempt to disrupt or compromise the app, the App Store, or Apple's services. When you share a list with another person, you're responsible for what you choose to share and with whom.

07 Our intellectual property

The Matters app, its name, design, and underlying software are owned by Modum Ventures and protected by intellectual-property laws. These Terms don't transfer any of those rights to you beyond the limited licence to use the app described above.

08 Disclaimer of warranties

Matters is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the app will be uninterrupted, error-free, or that it will meet every need, or that sync — which depends on Apple's iCloud and your devices — will always be available. Some jurisdictions don't allow certain warranty exclusions, so parts of this section may not apply to you.

09 Limitation of liability

To the fullest extent permitted by law, Modum Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of (or inability to use) Matters. To the extent we are found liable, our total liability is limited to the amount you paid for Matters in the twelve months before the claim. Nothing in these Terms limits liability that can't be limited under applicable law.

10 Changes to Matters and these Terms

We're continually improving Matters and may add, change, or remove features over time. We may also update these Terms; when we do, we'll revise the “last updated” date above and post the new version here. Material changes take effect when posted, and continuing to use Matters afterward means you accept them.

11 Termination

You can stop using Matters and delete the app at any time. We may suspend or end your licence if you materially breach these Terms. If your licence ends, the sections that by their nature should survive — ownership, disclaimers, limitation of liability, and governing law — continue to apply. Deleting the app doesn't delete data held in your own iCloud; remove that from your device's iCloud settings.

12 Apple App Store terms

Matters is distributed through Apple's App Store, and the following applies between you and Apple:

• These Terms are between you and us, not Apple. Apple isn't responsible for the app or its content.
• Your licence to use Matters is limited to Apple devices you own or control, as set out in Apple's standard licence terms.
• Apple has no obligation to provide support or maintenance for the app. Any product warranty not effectively disclaimed will be Apple's responsibility, and Apple may refund the purchase price (where applicable); otherwise, support questions go to us at hello@mattersplanner.com.
• Apple isn't responsible for addressing any claims relating to the app, including product-liability, regulatory, or third-party intellectual-property claims.
• You represent that you aren't located in a country subject to a U.S. Government embargo and aren't on any U.S. Government restricted-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13 Governing law

These Terms are governed by the laws of Sweden, without regard to conflict-of-laws rules, and the courts of Sweden will have jurisdiction — except where mandatory consumer-protection laws of your country of residence give you the right to bring a claim locally, which they may.
